1. Agreement
These Terms of Use govern your access to and use of the AcuityMaster website and the AcuityMaster Cloud application (together, “the Service”), operated by AcuityMaster, LLC (“we”, “us”). By creating an account, starting a trial, or using the Service, you agree to these terms. If you do not agree, do not use the Service.
If you are agreeing on behalf of a practice or organization, you represent that you are authorised to bind it.
2. What the Service is
AcuityMaster Cloud is browser-based visual acuity chart display software for use by qualified eye care professionals. It is a display system and not a diagnostic device. Please read our disclaimer, which forms part of these terms and sets out important limits on what the Service does and what we warrant.
3. Accounts and seats
Access requires an account. You are responsible for keeping your sign-in credentials secure and for all activity under your account.
A seat is one signed-in browser session. Two browser profiles signed in at the same time consume two seats, whether or not they are on the same computer. Count the sessions that will be signed in simultaneously, not the number of computers you own.
Seats may not be shared in a way that allows more simultaneous sessions than you have paid for.
4. Free trial
We offer a free trial of seven (7) days. No payment details are required to start it, nothing is charged automatically, and there is no subscription to cancel if you do nothing. At the end of the trial, access ends unless you subscribe.
5. Fees, billing and renewal
Subscriptions are billed annually in advance, per seat, at the rates published on our pricing page. Volume pricing is applied automatically according to the number of seats purchased.
Current rates are introductory. If you subscribe at an introductory rate, that rate applies for as long as your subscription remains continuously active; a later increase in published pricing will not apply to you. If your subscription lapses and is restarted, the then-current published rate applies.
Fees are exclusive of any applicable taxes. Except where required by law, fees paid are non-refundable.
6. Renewal, cancellation and non-payment
Subscriptions renew annually. Unless you tell us otherwise before the renewal date, your subscription continues for a further twelve months at your locked introductory rate and we invoice or charge accordingly.
To decline renewal, email Mark@AcuityMaster.com at any time before the renewal date. No notice period is required and no reason is needed. We will confirm in writing.
We will give you notice before renewing. We aim to email a reminder at least fourteen days before each renewal date, showing the amount and the date.
On non-payment, we will contact you before suspending anything. If an invoice remains unpaid thirty days after its due date we may suspend access until it is settled. We do not delete your account or configuration on suspension.
7. Acceptable use
You agree not to:
- Reverse engineer, decompile or attempt to derive the source code of the Service
- Resell, sublicense, rent or otherwise make the Service available to third parties beyond your own practice
- Circumvent seat limits, authentication, or any technical restriction
- Use the Service in a way that interferes with its operation or with other users
- Use the Service for any unlawful purpose
8. Intellectual property
The Service, including its software, interface, text, graphics and optotype rendering, is owned by AcuityMaster, LLC and protected by intellectual property law. Your subscription grants a limited, non-exclusive, non-transferable right to use the Service for its intended clinical purpose. No other rights are granted.
Third-party names and trademarks referenced on this site, including those of other software products, belong to their respective owners and are used only for identification and comparison.
9. Availability and changes
We aim to keep the Service available but do not guarantee uninterrupted access. We may modify, add or remove features. Where a change materially reduces functionality you rely on, we will make reasonable efforts to give notice.
The chart display is designed to continue working if your connection drops after the application has loaded. Sign-in and license validation require connectivity.
10. Termination
You may stop using the Service at any time and may decline to renew. We may suspend or terminate access for breach of these terms, non-payment, or where required by law. On termination your right to use the Service ends immediately.
11. Discontinued Windows edition
The AcuityMaster Windows desktop edition is no longer sold. Existing perpetual licenses continue to operate under the terms on which they were purchased. See the Windows edition notice.
12. Disclaimer and limitation of liability
The Service is provided “as is” without warranties of any kind, and our liability is limited, as set out in full in our disclaimer. Those provisions are incorporated into these terms and apply to your use of the Service.
13. Privacy
Our Privacy Policy describes what data we collect through this website and through AcuityMaster Cloud accounts, and forms part of these terms.
14. Governing law
These terms are governed by the laws of the State of Alabama, United States, without regard to its conflict of law rules. The exclusive venue for any dispute is the state or federal courts located in Mobile County, Alabama, and you consent to their jurisdiction.
15. Changes to these terms
We may update these terms. The “last updated” date above will change when we do. Continued use after an update constitutes acceptance. For material changes affecting active subscribers we will make reasonable efforts to give notice.
